Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

Your continued use of the Service after any modifications to these Terms constitutes acceptance of the revised Terms.

2. Service Description

Moiety is a personal expense tracking tool that allows you to record, categorize, and analyze your financial transactions. The Service includes features such as expense entry, category-based reporting, multi-currency support, household sharing, receipt scanning via AI, data import/export, and spending trend analysis.

3. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. The Service is not directed at or intended for use by anyone under the age of 18.

4. User Accounts

To use the Service, you must create an account with a unique username and password. You agree to:

• Maintain the confidentiality of your password and account credentials.
• Not share your account or credentials with any other person.
• Notify us promptly if you suspect unauthorized access to your account.
• Maintain only one account per person.

You are solely responsible for all activity that occurs under your account. Lad Intelligence is not liable for any loss or damage arising from your failure to safeguard your account credentials.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Use automated scripts, bots, scrapers, or similar tools to access or interact with the Service.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service.
• Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Circumvent, disable, or otherwise interfere with any security features of the Service.
• Use the Service to store or transmit malicious code, viruses, or harmful data.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Violation of these terms may result in immediate account termination without notice.

6. Intellectual Property

The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is the property of Lad Intelligence Inc. and is protected by Canadian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial expense tracking purposes, subject to these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you use our trademarks, logos, or branding without prior written consent.

7. User Data and Ownership

You retain full ownership of the data you enter into the Service, including your expense records, notes, household information, and uploaded receipt images ("User Data").

By using the Service, you grant Lad Intelligence a limited, non-exclusive, worldwide license to process, store, and display your User Data solely for the purpose of providing, maintaining, and improving the Service. This license terminates when you delete your account.

You may export your User Data at any time using the built-in export features. You may delete your account and all associated data at any time.

8. Disclaimer of Warranties

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the exclusions above apply to the fullest extent permitted by applicable law.

9. Not Financial, Tax, or Legal Advice

Lad Intelligence is not responsible for any decisions you make based on information displayed in or exported from the Service.

10. Limitation of Liability

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Lad Intelligence has been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such cases, the limitations above apply to the fullest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lad Intelligence Inc., its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or the rights of any third party.
• Any User Data you submit, enter, or upload through the Service.
• Any decisions you make based on data from the Service.

12. Data Accuracy

You are solely responsible for the accuracy of the data you enter into the Service. Lad Intelligence is not responsible for:

• The accuracy, completeness, or reliability of user-entered expense data.
• Errors in calculations, summaries, reports, or trend analyses generated by the Service.
• Errors in data extracted from receipt images by the AI-powered receipt scanning feature. AI-extracted data is approximate and should be reviewed and verified by you before relying on it.
• Currency exchange rates displayed in the Service, which are provided for informational purposes only and may not reflect real-time market rates.

13. Service Availability

We strive to provide reliable access to the Service, but we do not guarantee any specific level of uptime, availability, or performance. The Service may be unavailable due to:

• Scheduled or unscheduled maintenance.
• Technical failures, infrastructure issues, or force majeure events.
• Third-party service disruptions (including AWS infrastructure).

We may suspend, modify, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of any planned service discontinuation.

Lad Intelligence is not liable for any loss or damage resulting from service interruptions or discontinuation.

14. Account Termination

Termination by You

You may delete your account at any time through the account deletion feature in the app. Upon deletion, all your User Data will be permanently removed.

Termination by Us

We may suspend or terminate your account at any time if:

• You violate these Terms or our Privacy Policy.
• Your use of the Service poses a security risk or may cause harm to other users or our systems.
• We are required to do so by law.
• We discontinue the Service.

Where possible, we will provide reasonable notice before terminating your account and will allow you to export your data before termination takes effect, unless the termination is due to a Terms violation that poses an immediate security risk.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 8, 9, 10, 11, 12, 16, 17, and 18 survive termination.

15. Modification of Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a prominent notice within the Service or updating the "Last updated" date at the top of these Terms.

Your continued use of the Service after the modified Terms take effect constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must stop using the Service and delete your account.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You irrevocably consent to the jurisdiction and venue of such courts.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lad Intelligence Inc. regarding your use of the Service. These Terms supersede all prior agreements, understandings, and communications, whether written or oral, relating to the Service.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
